Terms and Conditions
The rules for working with us, in plain words.
Last updated: 22 October 2026. Applies to easyecom.lk and to the services of EasyEcom, operated by Balanita Pvt Ltd.
1. About these terms
EasyEcom is a trading name of Balanita Pvt Ltd, a company registered in Sri Lanka, at Level 37, West Tower, World Trade Centre, Echelon Square, Colombo 00100, Sri Lanka.
These terms cover two things: using this website, and buying our services.
When you become a client, you also get a written quote and sign an agreement with us. If anything in your quote or agreement differs from these terms, your quote and agreement apply.
In these terms, "we" and "us" means Balanita Pvt Ltd. "You" means the business that uses our website or buys our services.
2. Using this website
- The information on this site is general. It is not a quote or an offer.
- Prices on the site are starting prices. Your price is the one in your written quote.
- The text, design and images on this site belong to us, unless we say otherwise. Please don't copy them without asking.
- Links to other websites are for convenience. We are not responsible for what those sites contain.
3. Our services
We offer three services:
- Store setup: we build a new store, or rebuild or migrate an existing one, on Shopify, WooCommerce or Magento.
- Monthly management: we run your store every month after it goes live.
- Hosting: we set up and manage hosting for your store, unless you use Shopify or your own server.
Every store we build, we also run. We don't build a store and hand it over without monthly management.
We also offer a free store health check for existing store owners. It is a review of your store and a written summary of what we find. It doesn't include any fixes, and there is no obligation to work with us.
What each service includes for you is set out in your quote. You can see our current starting prices on our services page.
4. Quotes
- Every quote is written for your business and sent to you in writing.
- Quotes are in LKR (Sri Lankan rupees).
- A quote is valid for 30 days from the date we send it.
- A quote becomes a contract when you sign our agreement and pay the first setup payment.
5. Payments
| Service | When you pay |
|---|---|
| Store setup | 50% before we start the build. 50% on the day your store goes live. |
| Monthly management | Monthly, in advance, starting from the month your store goes live. |
| Hosting we set up | Added to your monthly management invoice. |
- We don't start a build until the first setup payment has reached us.
- Invoices are due within 14 days of the date on the invoice.
- If a payment is late, we'll remind you first. If it is still unpaid 14 days after that, we may pause work on your store until it is paid. We'll tell you before we pause anything.
- Bank charges and currency conversion costs on your side are yours to pay.
- Fees paid to other companies are paid directly by you, in your business name. This includes Shopify plans, paid apps and themes, domain names, and card and PayPal transaction fees.
6. What you agree to do
- Give us accurate information about your business, your products and the markets you sell in.
- Send product details, photos and prices when we ask for them. Delays on your side move the launch date.
- Reply to our requests on time (see section 8).
- Give us the access we need to your store, hosting and payment accounts.
- Make sure you have the right to sell your products and to use the content you give us.
- Follow the laws that apply to your business and to the countries you sell to, including consumer, tax and data protection laws.
- Pack and ship your orders, handle returns, and look after your customers.
- Bring buyers to your store through your own marketing and sales.
7. What we don't promise
We build and run your store properly. We can't control whether people buy from it.
- We don't bring you buyers, and we don't promise any level of traffic, sales or results.
- We don't run your advertising or social media.
- We aren't responsible for problems caused by platforms and services we don't control, such as Shopify, PayPal, payment gateways or your own hosting provider. When something goes wrong with one of them, we'll help you deal with it.
8. Building your store
- We agree the scope, platform and timeline with you in your quote.
- The timeline starts when we have both the first setup payment and the content we need from you.
- Before your store goes live, we send you a private preview. One round of changes is included. Further changes, or work outside the agreed scope, are quoted separately.
- Your store goes live when you approve it and the second setup payment is made.
If we don't hear from you
We need your replies to keep your build moving.
- If we ask you for something by email or WhatsApp and you don't reply within 14 days, we treat the project as dropped. We'll send you at least one reminder before then.
- A dropped project is closed. Payments already made are not refunded, and we don't restart the work.
- If you want to go ahead later, it counts as a new project, with a new quote and a new first payment.
9. Monthly management
- Monthly management starts on the day your store goes live.
- It has a minimum term of 6 months. After that, it continues month to month until either of us gives 30 days notice.
- What is included each month is set out in your quote.
- We support you on WhatsApp and email, Monday to Friday, 9am to 6pm, Sri Lanka time (GMT+5:30). We're closed on weekends and Sri Lankan public holidays.
10. Hosting
- If we host your store, we set it up and add the cost to your monthly invoice.
- If you use your own server, it must meet our minimum requirements and give us full admin access. Problems caused by your own hosting provider are outside our support.
- If you use Shopify, Shopify hosts your store and you pay Shopify directly.
- If you need your store's data kept in a particular country, tell us. Where our hosting providers offer that country, we can host it there.
11. Who owns what
- Your store is yours. Your products, content, customer data, domain name and accounts belong to you. Platform and payment accounts are opened in your business name.
- Once you have paid the setup fees in full, the store design and any custom work we made for your store belong to you.
- We keep ownership of our own tools, methods and know-how, and can reuse them for other clients.
- Themes, apps and plugins made by other companies stay under their own licences.
12. Your customers' data
When we build and run your store, it holds personal data about your customers. For that data, you are the controller and we are the processor. This means:
- We only handle it on your instructions, to build, run, fix and support your store.
- Everyone on our team who handles it is bound to keep it confidential.
- We protect it with suitable security measures.
- We only use other providers (such as hosting) that offer the same protection, and we tell you who they are.
- We help you respond to your customers' data requests and meet your own duties under the PDPA and GDPR.
- We tell you without delay if we find a breach affecting your customers' data.
- When our work ends, we hand the data back to you and delete our copies, unless the law requires us to keep them.
Our Privacy Policy explains how we handle our own clients' and enquirers' data.
13. Refunds and cancellation
Store setup
| When you cancel | What happens |
|---|---|
| After signing, before we start the build | We refund the first setup payment in full. |
| After we start the build, before go-live | The first setup payment is not refunded, because it covers work already done. The second payment is not due. |
| After your store goes live | The setup fees are not refundable. |
| You don't reply to our request for 14 days during the project (section 8) | The project is treated as dropped. Payments already made are not refunded. |
Monthly management
- During the 6-month minimum term, you can stop by giving notice. The remaining months of the minimum term are still payable.
- After the minimum term, you can stop at any time with 30 days notice. You pay for the notice period, and nothing after it.
- Management fees already paid for a month that has started are not refunded.
Hosting
Hosting stops at the end of your management. Hosting already paid for is not refunded.
Fees paid to other companies
Fees you paid to other companies, such as Shopify, app makers, domain registrars or PayPal, are under their own refund rules, not ours.
How to cancel
Send us your notice in writing, by email to hello@easyecom.lk or on WhatsApp. The notice period starts on the day we receive it.
14. When our work together ends
When management ends, for any reason:
- We hand over all logins for your store, hosting and payment accounts, and any files we hold for your store.
- If we host your store, we help you move it to a host you choose. Moving it is quoted separately.
- We delete our copies of your logins and your customers' data, unless the law requires us to keep them.
We may end our work with you, with 30 days written notice, if you don't pay what you owe after reminders, or if you ask us to sell or help with anything illegal. If you break the law or these terms seriously, we may end it straight away.
15. Our liability
- We do our work with reasonable care and skill.
- We are not liable for lost sales, lost profits, lost data that you did not ask us to back up, or other indirect losses.
- Our total liability to you for any claim is limited to the fees you paid us for management in the 3 months before the claim.
- Nothing in these terms limits liability that the law does not allow us to limit.
16. Things outside our control
We are not responsible for delays or failures caused by events outside our reasonable control, such as power or internet outages, platform failures, natural disasters, government action or civil unrest. We'll tell you as soon as we can and keep you updated.
17. Confidentiality
We keep your business information confidential. We only share it with the people and providers who need it to do the work, and as our Privacy Policy describes.
We won't name you as a client or show your store in our marketing without your written permission.
18. Law and disputes
These terms are governed by the laws of Sri Lanka. If we can't settle a disagreement by talking, the courts of Colombo, Sri Lanka will decide it.
19. Changes to these terms
We may update these terms. The "Last updated" date at the top shows when. Changes don't affect a quote or agreement you have already signed, unless we both agree in writing.
20. Contact
